On the 25th September 2015, the Parliament of Croatia adopted amendments to the Capital Markets Act. The amendments are intended to transpose Directive 2013/50/EU into national law. The amendments enter into force on 21st October 2015. The obligations concerning quarterly financial reporting will enter into force on 1st January 2016.
The amendments include changes to fines and administrative measures against non-compliant issuers. Additionally, the Act stipulates financial reporting requirements for issuers listed on the regulated market.
Furthermore, the amendments change the reporting requirements of voting rights and include all financial instruments that provide their holder with the same economic rights as bestowed through the ownership of shares or the right to acquire shares. Suspension of voting rights has also been included for non-compliance of notification requirements.
