The Central Bank of Ireland (CBI) has published a Notice of Intention to Amend the Central Transparency Guidance. The Central Bank Transparency Guidance is set out in the document entitled “Transparency Rules” available on the CBI’s website.

The changes are currently expected to come into effect from 8 October 2018, when the CBI will publish the amended Guidance on the Transparency (Regulated Markets) Law.

In particular, “submission templates” containing details related to each filing will be required for most submission types. No changes are being made to the Transparency Rules.

The proposed changes primarily relate to the methods of submission by major shareholders to the CBI, including:

  • Notification of Home Member State: Standard form to be emailed to “regulateddisclosures@centralbank.ie in accordance with the procedure set out on the Central Bank’s website”; and
  • Submission of TR-1: Standard form to be sent by email to the “Central Bank at [email address to be inserted] tr1shareholder@corporatefinancecbi.ie in accordance with the procedure set out on the CBI website”.

From the effective date, the submission templates will replace the template emails and forms that are currently in use. The CBI has advised market participants to commence using the new submission templates from the date the new submission templates are published on their website (currently expected to be 24 September and available here).
