The Central Bank of Ireland has published the final version of its Alternative Investment Fund Manager registration form. The form is only applicable to firms who do not require authorisation under the European Communities (Alternative Investment Fund Managers) Regulations 2013 (S.I. No. 257 of 2013) (the “Regulations”).
The application form applies to the following AIFMs:
a) an AIFM which either directly or indirectly, through a company with which the AIFM is linked by common management or control, or by a substantive direct or indirect holding, manages portfolios of Alternative Investment Funds (“AIFs”) whose assets under management, (including any assets acquired through use of leverage), do not exceed, in total, a threshold of €100 million; or
b) an AIFM which either directly or indirectly, through a company with which the AIFM is linked by common management or control, or by a substantive direct or indirect holding, manage portfolios of AIFs whose assets under management in total do not exceed a threshold of €500 million when the portfolios of AIFs consist of AIFs that are unleveraged and have no redemption rights exercisable during a period of 5 years following the date of initial investment in each AIF.
Where a firm is proposed to be appointed as AIFM and does not fall within (a) or (b) above, firms are advised to refer to the application form for authorisation as an AIFM, also located on the Central Bank of Ireland’s website and consult Chapter 3 of the AIF Rulebook.
