On 25 November 2016, the Central Bank published the First Edition of the Transparency Regulated Framework Q&A.
This follows changes made to the Central Bank`s Transparency Rules, which were updated on 4 November 2016. The Transparency Rules set out procedural and administrative rules and guidance in respect of the Transparency (Directive 2004/109/EC) Regulations 2007 as amended.
The Q&A provides information on the following:
- where the standard forms for disclosure of major shareholdings are located – click here for link;
- the methods used to submit information to the Central Bank;
- the requirement, from 1st Janaury 2017, for each Officially Appointed Mechanism (OAM) that files information with the Irish Stock Exchange to use LEIs as the unique identifiers for all issuers. Issuers that do not currently have a LEI are advised to obtain one; and
- further changes to the Transparency Rules, effective from 4th November 2016, that removes exemptions from the requirement to notify issuers of significant share-holdings arising through stock-lending or stock-borrowing agreements.
